1. Agreement to these Terms
These Terms of Use govern access to and use of the BPTA Business Directory (“BPTA”, “Platform”, “we”, “us” or “our”), including its website, accounts, business directory, advertising, jobs, enquiries, engagements, quotations, estimates, pro-forma invoices, invoices, payment-related records, reviews, delivery features and related services. By creating an account, registering a business, submitting content, advertising, engaging a business or otherwise using BPTA, you agree to these Terms and the Privacy Policy.
2. Eligibility and Accounts
You must provide accurate, current information and safeguard your login credentials. You are responsible for activity conducted through your account. BPTA may require email verification, business verification or administrative approval and may refuse, suspend or terminate access where reasonably necessary to protect users, the Platform, comply with law or enforce these Terms.
3. Nature of the Platform
BPTA provides technology that helps users discover and interact with independent businesses. Unless BPTA expressly states that it is the seller or service provider in a transaction, the relevant business—not BPTA—is responsible for its goods, services, prices, quotations, warranties, fulfilment, delivery, refunds, taxes, licences and legal obligations. BPTA does not guarantee that every listing, claim, review, price, availability or user submission is accurate, complete or current.
4. Business Listings and Seller Responsibilities
Businesses must have authority to offer the goods or services they publish and must keep their identity, contact details, descriptions, prices and material terms accurate. Businesses must comply with applicable Jamaican laws, licensing requirements, consumer obligations and electronic-transaction disclosure requirements. Misleading listings, impersonation, unlawful goods/services, deceptive pricing and fraudulent activity are prohibited.
5. Engagements, Documents and Transactions
Quotations, estimates, pro-forma invoices, invoices, messages, agreed items and other transaction records generated or stored through BPTA facilitate dealings between users and businesses. Parties must review transaction details before accepting or paying. Unless expressly stated otherwise, BPTA is not a party to the underlying contract and does not guarantee performance by either party.
6. Payments and Proof of Payment
Where BPTA permits payment information or proof of payment to be uploaded or recorded, users must submit genuine and accurate information. A displayed payment record does not by itself constitute an independent bank guarantee by BPTA. Businesses remain responsible for confirming cleared funds and applying their disclosed refund/cancellation terms, subject to applicable law.
7. Advertising and Featured Placement
Advertising is subject to availability, payment where applicable, campaign dates, placement rules, technical specifications and approval. BPTA may reject, pause or remove advertisements that are unlawful, misleading, technically unsuitable, harmful to users or inconsistent with Platform policies. Advertising or featured placement does not constitute BPTA endorsement of the advertiser.
8. Jobs
Employers are responsible for the legality and accuracy of vacancies and recruitment practices. Applicants are responsible for information they provide. BPTA does not guarantee employment, candidates, interviews or the legitimacy of every opportunity and may remove suspicious postings.
9. Reviews, Likes, Follows and User Content
Reviews must reflect genuine experiences and must not contain fabricated claims, harassment, unlawful material, confidential information or content submitted for improper manipulation. BPTA may moderate content and use signals such as verified engagements to improve trust. Users grant BPTA a non-exclusive, worldwide, royalty-free licence to host, reproduce, display and technically adapt content they submit for operating and promoting the Platform, subject to the Privacy Policy.
10. Prohibited Conduct
You must not misuse accounts, scrape or disrupt the Platform, introduce malicious code, bypass access controls, commit fraud, infringe intellectual property, harvest personal information, manipulate reviews or advertising, impersonate another person, or use BPTA for unlawful activity.
11. Intellectual Property
BPTA software, branding, layouts and original Platform materials are protected by applicable intellectual-property laws. Business names, logos and user content remain the property of their respective owners or licensors.
12. Availability and Security
We aim to provide reliable and secure services but cannot promise uninterrupted or error-free operation. Maintenance, outages, third-party failures, cyber incidents or events beyond reasonable control may affect availability.
13. Disclaimers and Limitation of Liability
To the maximum extent permitted by applicable law, BPTA is provided on an “as available” basis. Nothing in these Terms excludes liability that cannot lawfully be excluded. Subject to that qualification, BPTA is not liable for indirect, incidental, special or consequential loss arising from dealings between independent users and businesses, reliance on third-party content, or events outside BPTA’s reasonable control.
14. Indemnity
To the extent permitted by law, you agree to indemnify BPTA against third-party claims, losses and reasonable costs arising from your unlawful use of the Platform, your content, your breach of these Terms, or your infringement of another person’s rights.
15. Suspension and Termination
BPTA may restrict or terminate access for material or repeated breaches, fraud, security threats, unlawful activity, non-payment of applicable Platform charges, or where required by law. Where appropriate, reasonable notice or an opportunity to address the issue may be provided.
16. Electronic Communications
You consent to receive transactional and administrative communications electronically, including account, security, engagement, payment, advertising and policy notices. Marketing communications will be handled in accordance with applicable law and available preferences.
17. Changes to these Terms
BPTA may update these Terms. Each published version will carry a version and effective date. Material changes may require renewed acceptance. Continued use after an effective update may constitute acceptance where legally permissible and adequately notified.
18. Governing Law and Disputes
These Terms are governed by the laws of Jamaica. Parties should first attempt in good faith to resolve disputes through direct written communication. Nothing in these Terms prevents a person from exercising statutory consumer, privacy or other legal rights or approaching a competent regulator or court.
